Organizer Terms

Version: draft-2026-11-02

These terms apply to galleries, fairs, museums, cultural centres, collectives, curators and other organizers ("you") who use ArtiFolio to run events and show them on Vernissaria. The artisans who take part in your events use ArtiFolio under their own terms.

0. Parties and definitions

These terms are an agreement between Digital Travel Guide S.R.L., registered office 300096 Timișoara, str. Timocului nr. 17, bl. T10, ap. 7, Romania, Trade Register no. J35/1676/2019, VAT code RO40928916, the operator of Vernissaria and ArtiFolio ("the Operator", "we"), and the organization that applied for organizer access ("the Organizer", "you"). Members are the people who act for you in ArtiFolio.

An Event is a public event you run on Vernissaria. A Participation is an artisan's exhibition linked to your Event. Participation Data is the information about artisans you receive through ArtiFolio. Organizer Content is your logo, images, texts and event facts.

1. Scope and pilot

Organizer access is free during the pilot. We will not charge you anything without at least 30 days' notice and your explicit agreement to paid terms. We may end the pilot with notice; your events and their archive pages stay online when it ends.

2. Eligibility, verification, authority

The information in your application must be accurate. The person who applies confirms they are authorized to accept these terms for the organization.

Verification confirms your identity and your authority to act for the organization; it is not an endorsement of your events or of your agreements with artisans. We may ask for evidence or verify again at any time. During the pilot, organizer access is limited to organizations established in the European Economic Area or in countries with an adequacy decision.

3. Accounts and members

The owner of the organizer account is responsible for its members and for keeping their access confidential. Each member signs in personally; accounts are not shared. You remove members who leave the organization and tell us without delay about any unauthorized access.

4. Events and Organizer Content

You keep your event facts accurate: dates, venue, opening hours and how sales work.

You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt technically and show your logo, images and texts on Vernissaria, ArtiFolio, search engines, sitemaps, social previews and transactional emails, for as long as they are published and for reasonable backup periods. Using your name or logo in our own marketing, for example a list of partner galleries, needs your separate permission.

You confirm that you hold all rights and permissions needed for your content, including from photographers, from artisans whose works appear in it and from people who can be identified in it.

5. Inviting artisans

When you invite artisans:

  • you have a relationship with, or a lawful reason to contact, every person you invite by email;
  • you do not send bulk unsolicited invitations; ArtiFolio sends at most one invitation and two reminders, and limits picks from the artisan directory;
  • you respect people who asked not to receive event invitations;
  • the terms you propose (fee, commission) are the terms you actually offer.

6. Your agreements with artisans

Any participation fee, commission, consignment or other arrangement is a contract between you and the artisan. The Operator is not a party to it, does not negotiate, collect, hold, guarantee or pay out any amount under it, does not issue invoices for it and does not decide disputes about it. The terms shown in ArtiFolio are a record of what you and the artisan confirmed; they do not replace your full contract.

You give the artisan your full conditions, including safekeeping, insurance, transport and return of works, before or when they join. Where an artisan acts as a consumer, you are responsible for complying with the consumer-protection rules that apply to your offer.

You mark a participation fee as paid only when you have received it, and you correct the mark without delay if it was set by mistake. The paid mark is your statement to the artisan; it is not a receipt issued by the Operator. Safekeeping, insurance and return of the works in your care are your responsibility.

7. Sales

You keep the event's sales mode accurate. Online inquiries and purchases through Vernissaria always go to the artisan, who is the seller.

If you set an event to "the organizer also sells at the venue", you tell every buyer at the venue, before the sale, who the seller is and which terms apply, and you comply with the legal obligations that apply to you as seller or agent (for example invoicing, consumer law and anti-money-laundering rules where they apply). You do not present yourself as the seller of works sold online through Vernissaria. If the price you ask at the venue differs from the price shown on your event page, you make this clear to the buyer. You settle with artisans as agreed.

8. Curation and participations

You may order and feature works on your event page as you see fit.

You may hide a work from your event page, or end an artisan's participation, only with a short, factual reason, which the Operator sends to the artisan. Reasons must not be abusive, discriminatory or defamatory. The Operator may restore a hidden work or take other measures if a reason breaches this clause.

You do not pressure artisans to change what they share with you, beyond the rule that a confirmed commission requires sharing sales with their values.

9. Data protection

For Participation Data you are an independent controller under the GDPR. The Operator discloses it to you because the artisan has chosen to share it for the event; the Operator does not process data on your behalf, and you do not process data on the Operator's behalf.

You use Participation Data only to run, document and promote the event concerned and to perform and settle your agreement with the artisan. You do not:

  • copy, export or compile it for any other purpose, including marketing or building contact lists;
  • sell, rent or disclose it to third parties, except advisers and service providers bound by confidentiality who need it for these purposes, or where the law requires;
  • combine it with other sources to profile, rank or score artisans for third parties;
  • try to identify, contact or obtain data about buyers or visitors of artisans' works;
  • use automated means to collect data from Vernissaria or ArtiFolio.

9a. Security, retention and requests

You protect Participation Data with appropriate measures and limit access to members who need it. You delete copies held outside ArtiFolio when they are no longer needed for the purposes above, and at the latest 12 months after the event's settlement, unless the law requires longer. You handle artisans' requests about the data you hold, and tell the Operator without undue delay of any request or personal-data breach that concerns data received through ArtiFolio. You do not transfer Participation Data outside the European Economic Area without a lawful transfer mechanism.

10. Use of artisans' images

You may use artisans' images only to promote the event they take part in, within the scope each artisan granted under their own terms (for example on your website or social media pages for that event, with the artisan's name). Any other use needs the artisan's permission.

11. Prohibited conduct

You must not:

  • impersonate another organization or person, or create fake events;
  • harvest data, scrape Vernissaria or ArtiFolio, or send spam;
  • try to get around artisans' sharing settings;
  • publish invitation links to give people access to ArtiFolio Pro, or ask for or accept anything in exchange for an invitation. Invitation links are for artisans who genuinely take part in your event; the Operator may revoke invitations, end Pro access obtained this way and suspend your account.

12. Moderation, suspension, termination

If you break these terms or the law, the Operator may restrict your content, hide or remove an event, refuse a claim, or suspend or close your account, in proportion to the breach.

If the Operator takes such a measure, it tells you the decision, the facts and the clause of these terms it relies on, whether the decision was automated, and how you can ask for it to be reviewed. Where possible, it does so before the measure takes effect, unless the law, security or the protection of others requires immediate action. You can ask for a review by replying to our message within 6 months; a person on our team answers within 14 days.

When your account is suspended or closed, your events keep their facts and archive pages, your branding is removed, participating artisans keep their exhibitions, and the events return to "the artisan sells" without default terms. Terms artisans already confirmed stay on record.

You can close your organizer account at any time by writing to us.

13. Name and trademark complaints

Anyone may tell us that an organizer page, an event name or an address on Vernissaria infringes a name or trademark, or impersonates someone, by writing to support@vernissaria.com. We look at each complaint, may ask both sides for evidence, and may rename an event, move or reserve an address, or suspend an account. Old addresses redirect to the new ones where this is lawful.

14. Liability and indemnity

ArtiFolio and Vernissaria are provided as they are, during a free pilot. To the extent the law allows, the Operator's total liability to you under these terms is limited to EUR 100, and the Operator is not liable for indirect losses, lost profits or the conduct of artisans, buyers or other organizers. Nothing in these terms limits liability that the law does not allow to be limited.

You indemnify the Operator against claims arising from your agreements with artisans, your Organizer Content, your sales at the venue and your misuse of Participation Data.

15. Changes to these terms

We tell you about changes at least 30 days before they apply, by email and in ArtiFolio. If you do not agree, you can close your organizer account before the changes apply. Changes required by law or to protect users may apply sooner.

16. Law, courts, language

These terms are governed by Romanian law. Disputes go to the competent courts in Timișoara, at the Operator's seat, unless the law gives you another forum. The Romanian version prevails over translations. Public bodies may need adapted terms; write to us.

17. Contact and notices

Write to support@vernissaria.com; for personal data, to privacy@vernissaria.com. We send notices to the contact email of your organizer account; keep it up to date.
